LLC Formation and Operating Checklist

Workflow

  1. Define owners, activity and operating locations

    List the owners, planned activity, places of operation, staff and relevant licenses. Review entity choices with the applicable state authorities and advisers. Compare the continuing obligations where the business will operate before choosing a formation state.

  2. Verify names, requirements and launch costs

    Check name availability and restricted terms with the formation authority. Identify the registered-agent, address, filing, license and local requirements that apply. Use current official fees and actual professional quotes to itemize launch costs, deposits and funding.

  3. Prepare and submit the required documents

    Confirm the filing content, signer and submission method with the state. Address ownership, management, contributions, decisions and changes in the operating agreement as appropriate. Submit through the chosen authorized process and retain the accepted documents and receipts.

  4. Confirm EIN, tax treatment and current reporting

    After the entity is formed, use the IRS process if an EIN is required. Establish the federal tax classification and any election separately from state LLC status. Check FinCEN’s current rule: its August 2026 final rule exempts US-created entities from BOI reporting; foreign-formed entities registered in the US may still have obligations.

  5. Separate funds and plan payment timing

    Open the appropriate business accounts and set a ledger that distinguishes sales, expenses, assets, debt and owner equity. In Monthly cash plan, enter available cash, initial outlays and expected collections and payments. Include actual tax and filing dates in the underlying schedule.

  6. Maintain the entity and reporting calendar

    Assign responsibility for state reports, licenses, registered-agent changes, tax filings and required records. Confirm deadlines directly with each authority. Reconcile the books and have the relevant owner or entity tax target established before allocating any estimated payments.
